Standard Conditions of Warranty

STANDARD CONDITIONS OF WARRANTY FOR SGX EUROPE SP. Z O.O. PRODUCTS

These Standard Conditions of Warranty are issued in conjunction with the SGX Europe General Terms and Conditions of Sale and contain important provisions relating to the Warranty in respect of the Product and Return Procedure. Please read this carefully.

The party providing the warranty is SGX Europe Spółka z ograniczoną odpowiedzialnością with its registered office in Katowice, ul.Konduktorska 42, 40-155 Katowice, entered in the register of entrepreneurs of the National Court Register kept by the District Court Katowice – Wschód in Katowice, VIII Commercial Division of the National Court Register (KRS) under No. KRS 0000572677, holding NIP (tax ID No.) 6342844879 and REGON (stat. ID No.) 362332227, with its share capital of PLN 5,000 (“SGX Europe”).

Except where otherwise agreed in writing, the Product shall be subject to the following conditions of warranty.

1.TERM

Each Product for which a warranty is offered is guaranteed against defects in workmanship and materials and designed to perform to its specification when operated in accordance with the instructions. The warranty period is 1 year from the date of sale, unless otherwise specified in the SGX Europe price offer, on the SGX Europe written order acknowledgement, contract with the customer or the Product manual Data Sheet available on our website https://www.sgxsensortech.com/

In the event that a quotation or acknowledgement does not contain a warranty information for your specific Product, or in the event that you require clarification regarding the warranty, please contact the SGX Europe Sales Department Personnel.

2. CLAIMS

2.1 DAMAGE IN TRANSIT

a. Each Product is inspected by SGX Europe prior to despatch and should be examined by the Purchaser immediately on receipt.

b. The carton or packing crate should be examined for signs of damage and the Carrier’s note endorsed accordingly. If inspection is not possible upon delivery the item should be signed for our purposes as “unexamined”. The Product must then be unpacked without undue delay and, after inspection for damage to its glasswork or internal structure, an electrical test applied. Where a static test is impracticable, a functional test of the Product is recommended.

c. Where damage in transit is suspected, the original packing materials should be retained to return the Product. If the Product has been damaged in transit, and if SGX Europe has arranged the insurance cover on behalf of the Purchaser, the Purchaser should, within 7 days of receipt of the Product, either (a) inform the insurance company which has provided the insurance, or (b) notify SGX Europe, who will file an insurance claim. If insurance has been arranged by
the Purchaser, then the Purchaser should fulfil the formalities to notify the damage following the procedure applied by the insurer.

2.2 CONDITIONS OF WARRANTY

This warranty is valid only if the following conditions are met:

a. The Product has been supplied directly by SGX Europe or via a Distributor, Representative or other selling medium authorised by SGX Europe.

b. The Product has been operated within its specification and in accordance with SGX Europe instructions.

c. The Product has not been subjected to any accident, abuse, alteration, misuse or neglect in storage, transportation, handling or use.

d. The return procedure specified in Paragraph 3 below is followed.

e. The decision of SGX Europe on the cause of failure and on the value and form of any applicable allowance is accepted by the Purchaser.

f. Right of access to equipment for the purpose of checking operating conditions is granted to any representatives of SGX Europe where SGX Europe may so require.

g. SGX Europe is notified of the Product failure within 30 days from the date of its identification.

h. The Purchaser has withdrawn the Product from service immediately after disclosure of the alleged failure.

i. The Product warranty is subject to the laws of Poland.

2.3 LIMITATION OF LIABILITY

Unless separate arrangements in a written agreement between SGX Europe and the Purchaser stipulate otherwise, this warranty defines fully the extent of SGX’s liability for the Product and shall be in lieu of any warranty condition or liability, including warranties of merchantability and fitness for a particular purpose which are hereby expressly excluded.

The sole obligation of SGX Europe under this warranty is to carry out repairs, replace the Product or reduce the price for the Product as specified herein. In particular, in no event shall SGX Europe be liable for any damage, including lost benefits or indirect damages, howsoever arising.

The warranty shall not exclude, limit or suspend the rights of the Purchaser under the provisions on statutory liability for a sold item.

3. RETURN PROCEDURE

The return procedure specified below must be followed, if returning a Product under warranty:

3.1 The Purchaser is obliged to fill in and attach to the packaging of the returned product, the return form (which can be found online at the following address: www.sgxsensortech.com/contact-us/ – select the linked page and fill in the Product return form). The form must be completed giving all information requested and noting, in particular, any unusual occurrences with the involvement of the Product before or at the time of failure.

3.2 The returned Product should be packed in the same manner as originally, preferably by use of the same packaging materials. If the Purchaser cannot provide suitable packing, it can be provided at the Purchaser’s expense.

3.3 The returned Product must be insured and carriage paid by the Purchaser. SGX Europe accepts no responsibility for loss of, or damage to a returned Product during transit.

3.4 SGX Europe is obliged to perform its obligations within thirty (30) days from the date of Product delivery by the Purchaser to SGX Europe. The choice of the warranty service shall be with SGX Europe.

3.5 If repair or replacement is offered, the Purchaser will be notified in writing.

3.6 Where credit is offered in settlement of a claim, such credit shall be agreed under individual arrangements with the Purchaser.

3.7 If the returned Product is not defective and is still fully serviceable, it will be returned at the Purchaser’s expense.

3.8 It may be necessary for an inoperative product to be dismantled by SGX Europe to determine the cause of failure and permission for this to be done is granted automatically by the Purchaser in returning the Product. An inoperative Product will only be returned to the Purchaser at their expense if SGX Europe finds no grounds for repair, credit or Product replacement. Where SGX Europe replaces the Product, the defective Product shall become the property of
SGX Europe.

4. RE-WARRANTY

Products that have been repaired or replaced under warranty shall be re-warranted to the end of the original period of warranty of the repaired or replaced Products or for three months, whichever is longer. The expiry of the original period of warranty for the purposes of re-warranty shall be extended to take account of the duration of the interruption of use as a result of the failure under warranty.

5. SPECIFIC EXCLUSIONS

In certain circumstances extended warranties may be offered within the sales contract. In such cases, contracts may identify specific items or parameters that are excluded, the excluded items shall be listed within the quotation, contract and order confirmation.
